Introduction

In this lesson, we open with the definition of a Key Managerial Personnel and understand the various components that make up a Key Managerial Personnel by looking at each of these components in detail. We then learn how a Key Managerial Personnel is different from a Board of Directors. We end this lesson by learning the procedure for Appointment of a Key Managerial Personnel and by understanding the prerequisites of such an appointment.

Key Managerial Personnel and their Appointment

In this lesson, we learn about the maximum remuneration that can be paid to Directors and the cases in which you can exceee these limits. We then learn the much talked about Schedule V in detail. We close the lesson by learning the procedure for application to the Central Government when Schedule V is not complied with.

In this lesson we learn about the actual steps to be followed when appointing or fixing remuneration of a Managerial Personnel. We end the lesson by understanding the provision regarding Compensation for Loss of Office. Along the way, we also learn about the circumstances in which a Director will be disqualified under section 164 and when he will have to vacate his office under section 167.
