Introduction: What can you expect from this course?

This lesson begins with understanding the difference between the two major forms of business enterprises i.e. corporate and non-corporate enterprises. After learning some important definitions, we will understand in detail the procedure involved in the incorporation of a public company having share capital. The lesson ends with a short note on a fast-track procedure for incorporation.

General Procedure in Setting up a Company

This lesson covers the incorporation procedure for the various forms of companies. In order to have a better grasp on the subject, we also take note of the many similarities and differences between the various incorporation procedures.

Incorporation of Specific Forms of Companies

Having understood the procedure for incorporation of different forms of companies, in this lesson we learn the procedure for conversion of an already incorporated company from one form to another. We also touch upon the relevant sections of the Companies Act, 2013.

Conversion of Companies from One Form to Another

This lesson explains the procedure for changing the name clause and object clause of a company. It elaborates on these topics by explaining the difference in procedure when the change in name is voluntarily and when it is by the direction of the Central Government and also the additional requirements to be fulfilled to change the objects of a company when there is unutilised money.

Alteration of MOM and AOA (Part 1)

This lesson wraps up the topic of Alteration of MOA and AOA. Here we understand in detail, the procedure for alteration of the registered address of a company. We go into the implications of altering the address to the jurisdiction of a different ROC or to a different State entirely. The lesson ends with a brief note on the procedure for alteration of AOA.

Alteration of MOA and AOA (Part 2)

With this lesson, we begin the topic of issue and allotment of securities. Here, we see a brief outline on the ways in which shares can be issued, the types of shares that can the issued and also a detailed note on issue of shared through private placement.

Introduction to Issue and Allotment of Securities

This lesson explains in detail the procedure for issue of each of the different types of shares whether it is Bonus Shares or Sweat Equity Shares or Shares with Differential Voting Rights or even Redeemable Preference Shares.

Issue and Allotment of Different Types of Shares

This lesson explains in detail the procedure for further issue of shares. We see the different ways or modes in which further issue can be made I.e. Rights Issue, Issue to Employees and Preferential Issue. We also see a brief note on the latest share based employee benefit scheme regulations.

Further Issue of Shares

This lesson covers all the different ways in which we can alter share capital. Each of those those types of alteration is covered in detail and the procedure for alteration of share capital is also explained. This is also a small note on surrender of share capital towards the end of the video.

In this lesson, we focus on Forfeiture of Share and on Reduction of Share Capital. We learn the procedure for each in detail, keeping in mind the various provisions, rules and regulations applicable for each.
